Terms of Service

1. Acceptance of Terms

By accessing or using the Techie DMS platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Techie DMS is a cloud-based document management platform that provides secure file storage, organization, collaboration, versioning, and sharing capabilities. The Service is offered as a Software-as-a-Service (SaaS) solution with subscription-based pricing.

3. Account Terms

• You must be at least 18 years old to create an account.
• You are responsible for maintaining the security of your account credentials.
• You must provide accurate and complete registration information.
• You must notify us immediately of any unauthorized use of your account.
• Each organization account must designate at least one administrator.
• You may not share your account credentials with others.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to:

• Upload malware, viruses, or any code designed to disrupt the Service
• Use the Service to store or distribute illegal, harmful, or infringing content
• Attempt to gain unauthorized access to other users' data or system infrastructure
• Use automated tools (bots, scrapers) to access the Service without authorization
• Resell, sublicense, or redistribute the Service without written permission
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to send spam, phishing attempts, or unsolicited communications
• Overload or interfere with the Service's infrastructure or other users' access

5. Subscriptions and Payments

• Free Trial: New accounts receive a 14-day free trial. No credit card is required to start.
• Billing: Subscriptions are billed monthly or annually in advance. Prices are displayed in INR and exclude applicable taxes.
• Payment Methods: We accept credit/debit cards, UPI, and net banking via Razorpay for instant account activation.
• Renewal: Subscriptions auto-renew unless cancelled before the renewal date.
• Refunds: Annual subscriptions may receive a prorated refund within 30 days of purchase. Monthly subscriptions are non-refundable.
• Price Changes: We will notify you at least 30 days before any price increase. Existing subscribers will be honored at their current rate until the next renewal after notice.

6. Your Data

• Ownership: You retain full ownership of all documents, files, and content you upload to the Service.
• License: You grant us a limited license to host, store, and process your content solely to provide the Service.
• Isolation: Your data is stored in a dedicated database (database-per-tenant architecture) and is completely isolated from other organizations.
• Export: You can export your data at any time in standard formats.
• Deletion: When you delete your account, all your data is permanently removed within 30 days (90 days for backups).

7. Intellectual Property

The Service, including its software, design, branding, and documentation, is owned by Techie DMS and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service during your subscription period.

8. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance windows are communicated at least 48 hours in advance. We are not liable for downtime caused by factors beyond our reasonable control (force majeure events, third-party service failures, etc.).

9. Limitation of Liability

To the maximum extent permitted by applicable law, Techie DMS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Techie DMS and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service or violation of these Terms.

11. Termination

• You may cancel your subscription at any time from your admin dashboard.
• We may suspend or terminate your account for violation of these Terms with 30 days' notice.
• We may terminate the Service entirely with 90 days' notice to all users.
• Upon termination, your right to use the Service ceases immediately.
• We will provide data export for 30 days after termination for account-initiated cancellations.

12. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect via email or in-app notification. Continued use of the Service after changes constitutes acceptance.
